  7.   This Agreement governs your use of the current Felitec Inc. software 
  8.   product along with the documentation, manuals, disks and/or any other 
  9.   material associated with it (the "Software"). BY USING THE SOFTWARE, 
  10.   YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

  13. TRADEMARKS

  15.   "Mindful" and "Mindful SE" are trademarks of Felitec Inc. All other
  16.   trademarks are the property of their respective company.

  19. GRANT OF LICENSE

  21.   Subject to the provisions contained herein, Felitec Inc. (herein 
  22.   "Felitec") hereby grants you a non-exclusive license to use its 
  23.   accompanying proprietary software (herein "Software"), described as 
  24.   "Mindful", free of charge. Permission is granted to anyone to use 
  25.   this software for any purpose. If you use this software in a product, 
  26.   an acknowledgment in the product documentation would be deeply 
  27.   appreciated but is not required.

  29.   Felitec may have patents or pending patent applications, trademarks,
  30.   copyrights, or other intellectual property rights covering the Software.
  31.   You are not granted any license to these patents, trademarks,
  32.   copyrights, or other intellectual property rights except as expressly
  33.   provided herein. Felitec reserves all rights not expressly granted.

  36. COPYRIGHT AND RESTRICTIONS

  38.   The Software is owned by Felitec and is protected by Canadian and 
  39.   United States copyright laws and international treaty provisions. 
  40.   Felitec retains all rights not expressly granted. You must treat the 
  41.   Software like any other copyrighted material. You may not rent or lease
  42.   the Software but you may distribute copies of it in its original
  43.   distribution form. You may not reverse engineer, de-compile or
  44.   disassemble the Software, except to the extent where applicable law
  45.   expressly prohibits the foregoing restriction.

  48. COPY DISTRIBUTION

  50.   You may distribute copies of the installation file as-is without any
  51.   modification. You may not charge any fee for such distribution. The
  52.   origin of this software must not be misrepresented; you must not claim

  57. WARRANTY DISCLAIMER.

  60.   WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY 
  61.   IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  62.   PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE EXPRESSLY 
  63.   AND SPECIFICALLY DISCLAIMED. NEITHER FELITEC NOR ANYONE ELSE 
  64.   WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR 
  65.   DELIVERY OF THIS SOFTWARE SHALL BE LIABLE FOR ANY INDIRECT, 
  66.   CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE USE 
  67.   OR INABILITY TO USE SUCH SOFTWARE EVEN IF FELITEC HAS BEEN 
  68.   ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. IN NO 
  69.   EVENT SHALL FELITEC'S LIABILITY FOR ANY DAMAGES EVER EXCEED 
  70.   THE PRICE PAID FOR THE LICENSE TO USE THE SOFTWARE, 
  71.   REGARDLESS OF THE FORM OF CLAIM. THE PERSON USING THE 
  72.   SOFTWARE BEARS ALL RISK AS TO THE QUALITY AND PERFORMANCE 
  73.   OF THE SOFTWARE.

  75.   Some states do not allow the exclusion of the limit of liability for 
  76.   consequential or incidental damages, so the above limitation may not 
  77.   apply to you.

  79.   This agreement shall be governed by the laws of the Province of 
  80.   British Columbia and shall inure to the benefit of Felitec Inc. and 
  81.   any successors, administrators, heirs and assigns. Any action or 
  82.   proceeding brought only in a PROVINCIAL or FEDERAL COURT of 
  83.   competent jurisdiction located in the Penticton district of 
  84.   British Columbia.
